These Terms of Service ("Terms") govern your access to and use of the websites, applications and services provided by Havby ("Havby," "we," "us" or "our"). Please read them carefully.

1. Acceptance of these Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization. If you do not agree to these Terms, do not use the Services.

2. The Services

Havby is a workspace in which you direct a team of AI agents connected to the tools you choose, currently Gmail, Google Calendar, Google Contacts, Google Drive, Google Docs, Google Sheets, Google Slides, GitHub and the web. The "Services" include havby.com, the workspace at app.havby.com, Havby for macOS, Havby for mobile, the Havby API and developer portal, and any action an agent takes on your behalf within them.

The Services are currently offered as a closed beta. Features may change, and some may be modified or withdrawn during the beta period.

3. Eligibility and accounts

You must be at least 16 years old to use the Services. You are responsible for all activity that occurs under your account and within your workspaces, and for keeping your sign-in credentials confidential.

If you believe your account has been accessed without authorization, notify us immediately at security@havby.com.

4. Agents and connected services

You authorize the agents in your workspace to act on your behalf using the access you grant them. You are responsible for the access you grant and for actions an agent takes within that access. Unless an account is set to Can act on its own, actions that cannot be reversed require your OK from a person in your workspace before they are carried out.

Your use of any third-party service you connect to Havby is governed by that service's own terms. Havby is not responsible for third-party services or for changes to their availability or functionality.

5. Customer content

As between you and Havby, you retain all rights to the content you and your agents place in the Services, including messages, files and tasks ("Customer Content").

You grant Havby a limited license to host, process and transmit Customer Content solely as necessary to provide and secure the Services. We do not use Customer Content to train any model, whether our own or a third party's. Our Privacy Policy describes how we collect and use personal information.

6. AI-generated output

Agents produce output using AI models. Output may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing output, and the receipt for each action, before relying on it.

7. Fees and payment

The Services are billed monthly at $25 per seat and $59 per agent. Each seat and agent includes a share of a pooled hour allowance, and hours used beyond that allowance are billed at $7 per hour. Payments are processed by Stripe.

We may change our prices. Any price change applies only from its effective date and never to hours already used.

8. Acceptable use

You agree not to:

  • use the Services for any unlawful purpose;

  • use an agent to abuse, disrupt or gain unauthorized access to any third party's systems or data; or

  • attempt to access or extract data belonging to another Customer.

We may suspend or terminate an account that violates this section.

9. Intellectual property

Havby and its licensors own all rights in the Services, including the software, interfaces and branding. Except for the rights expressly granted in these Terms, no rights are transferred to you. If you send us feedback or suggestions, we may use them without obligation to you.

10. Termination

You may cancel your subscription at any time. We may suspend or terminate your access to the Services if you breach these Terms.

When a workspace is deleted, it stops working immediately, including all agent, connector and API access. Its underlying data is permanently deleted 45 days later.

11. Disclaimer of warranties

The Services are in closed beta and are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, Havby will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data. Havby's total liability arising out of or relating to these Terms or the Services is limited to the fees you paid to Havby in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold Havby harmless from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Services.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. If we make a material change, we will notify you by email before it takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of law principles.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Havby regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent.
